What could be the problem? I don't think its Over / Under watering. Could it be a heat / ventilation problem? or a PH issue?

may not be a problem,i notice the way your lights are the plant only gets it right on that one side,it looks to me like the plant is just leaning towards the light.

soil or heat may be the prob like cobra said..but if not i stand by my orginal statment, they look like there just looking for light..with your size restriction and lighting, you would be best off LSTng in a circle around the container

Soils is moist. I think it could be heat stress or a bit of a PH problem? I've just recently got a PH Meter and im 6 Weeks into veg ( I know >.<) PH was a bit high 6.8? Could that be a cause of droopy leaves?

6.8 is fine. Let that soil dry right out before adding any more water, then thoroughly water then let it dry out again, real dry too, not according to the moisture meter. That pot should be light. Also you are going to need to add something reflective like white plastic or mylar to your box to help distribute the light around. Also, I see there isnt any air ventilation or even circulation, your plant needs air. The other question is, what light schedule are you using, and is that box light proof.
